Registering a new company is always a tedious job, especially if you have no idea about it. You will need several different documents and need to follow several steps for the successful registration of the company. Here let us have a look at how to register a company in Tamilnadu. The process of registration is almost the same in every state in India. You will be able to register different kinds of companies like Private limited companies, Public companies, OPC registration and Limited Liability Partnership (LLP) as well.

  • Residence Proof of all the directors of the company:

    • Bank passbook with last two months entries.

    • Latest Power bill
  • Each directors ID Proof:
    • Voter ID card
    • Copy of Passport
    • Driving License

  • Color photograph of all directors
  • Business Address Proof
    • Landline bill
    • Mobile bill
    • Gas bill
    • Electricity bill
  • Affidavits on Rs 100 stamp paper for each director (if more than one)

Here are the steps that you need to follow when registering a company in Tamilnadu:

Step 1: Your first step is to decide on a name for your company and check its availability. You will have to visit the website http://www.mca.gov.in/. This is an official website maintained by the government of India. This is a website for finding out the details of all the registered companies in India. Once you open this link, you will find the MCA SERVICES tab on the top of the screen. Under that tab, you need to go to COMPANY SERVICES and select CHECK COMPANY NAME. You should now give the name that you have decided on and check its availability. If the name is not available you will have to check the same in different combinations or try another name for the company.

Step 2: If the name is available, you should now download the form for filling in the details and apply for the name.

Step 3: You should visit the ROC or Registrar of Companies. This is maintained by the MCA by the government of India. Every state will have one ROC, but Maharastra and Tamilnadu are having two ROC offices each. You will receive a name approval letter from the ROC only.

Step 4: The Digital Signature certificate of each of the directors of the company should be obtained.

Step 5: You should now get the DIN or the Director Identification Number.

Step 6: You need to submit all the remaining documentation like MOA, AOA, Consent letters, Subscription pages, Address proofs and all other documents that ROC asks for. These documents are required for the generating Certificate of incorporation.

Step 7: You can now apply for the Company PAN and also TAN.

So, these are the steps you need to follow for registering a company in Tamilnadu. Always make sure that you have all the documents ready with you before you get started with the application process. It is going to take at least 15 days to 20 days for the completion of the process of registration. Sometimes, it may take longer than this as per the other issues raised at the ROC office. You will have to keep checking for any communication from the ROC office till you receive the registration certificate. A certain fee is charged for the entire process and so you should be ready with the amount. The fee depends on the company.
